Data Center and Facility Rules

COREXCHANGE, INC. FACILITY RULES

In addition to any applicable master service agreement (“MSA”) with CoreXchange, Inc. (“CoreXchange”), Customer and its representatives are bound by the following rules and regulations regarding the use of each CoreXchange data center facility (each, a “Facility”). Customer is responsible for following and ensuring its agents and representatives follow these Facility Rules concerning use of and access to a Facility. CoreXchange reserves the right, in its sole discretion, to suspend or terminate service if Customer or its representatives violates the Facility Rules set forth below. The term “Customer” shall also refer to its authorized representatives. Undefined capitalized terms used herein shall have the meanings respectively given to them in the MSA.

Access to Facility
Only those individuals identified in writing by CoreXchange or by Customer may have escorted access to Facility. CoreXchange will require photo identification for access verification. Upon entry, Customer may be issued a badge which, if so issued, it will wear at all time when in the Facility. Customer shall deliver prior written notice to CoreXchange of any changes to its list of authorized representatives. Customer recognizes that CoreXchange shall not allow any other persons to have access to or enter the Facility. Customer may only access to the Licensed Area and any common areas. Customer must obtain the proper CoreXchange authorization and be accompanied by a CoreXchange representative prior to accessing any other area within the Facility.

Facility Restrictions
Customer may not move any floor tiles, cabinets, or any other items or fixtures in a Facility without the express consent of CoreXchange. No item that could damage or interfere with the operation of the Facility or any of the equipment therein is permitted inside the Facility. Bringing any such item into the Facility may result in permanent expulsion from all CoreXchange facilities.
Such items include but are not limited to:

  • Power supply systems not provided by CoreXchange or without express prior approval from CoreXchange
  • Climate-control devices   
  • Electro-magnetic devices
  • Photography or recording equipment of any kind (exclusive of tape backup equipment)
  • Food or liquids
  • Chemicals, explosives, solvents, cleaners or paints
  • Paper, cardboard, Styrofoam or other flammable materials 
  • Weapons or other inherently dangerous instruments

Customers may not wear open-toed shoes or shorts or carry any food or beverage while in the Facility.

Licensed Area
Customer is responsible for maintaining its Licensed Space clean and orderly at all times. Customers are to utilize the Licensed Area allocated to them only for the placement of equipment and the use of CoreXchange - provided services.

Permitted Use of Facility
Customer shall not use the Facility or its Licensed Space, or allow access to or use of either, except in accordance with the terms contained herein and in its MSA. In its use of the Facility, Customer shall not interfere with CoreXchange or other customers, or any authorized representatives thereof.
Customer shall not connect to the equipment to any other customer’s equipment without the express written consent of CoreXchange. Customer expressly disclaims any right, title, or interest in or to any of CoreXchange 's equipment or property, or CoreXchange 's customers, or agents, whether located in a Facility or elsewhere.

Customer shall use the Facility solely for the purpose of installing, maintaining and utilizing its equipment and for interconnecting the Customer’s equipment to CoreXchange’s infrastructure for the delivery of the Services.

Equipment and Connectivity

  • The operation of Customer Equipment must at all times comply with manufacturer's specifications, including all power requirements.
  • Faulty power supplies or other faulty Customer Equipment must be replaced by the Customer within one day of notification from CoreXchange. Once CoreXchange has notified a customer of faulty equipment, CoreXchange will be authorized to disconnect such equipment as it deems necessary in its sole discretion.
  • Customer may not exceed power limits engineered by CoreXchange, as set forth in its MSA. Customers drawing more than their stated power limits may be required to pay for the additional amperage.
  • Customer shall not make any construction changes or alternations to the interior or exterior portions of the Facility or the Licensed Area, including any cabling or power supplies for its equipment.
  • Each piece of Customer Equipment installed in a Facility must be clearly labeled with Customer's name (or code name provided in writing to CoreXchange or issued by CoreXchange) and individual component identification. Each connection to and from a piece of Customer Equipment shall be clearly labeled with Customer's name (or code name provided in writing to CoreXchange or issued by CoreXchange) and the starting and ending point of the connection.
  • CoreXchange may provide dumb terminals, monitors, monitor cables, keyboards, extension cables and the like, as available, for temporary use by Customer to connect to its equipment. This equipment is available on an “as is” basis, without liability to CoreXchange or any implied or written warranties. Customer must sign out such equipment from a CoreXchange employee. If customers use this equipment, they do so at their own risk.
  • Customer Equipment must be installed so that rear-facing exhaust fans blow out the backs of the equipment cabinets or racks on which such equipment is mounted or located.

Facilities Conduct
Customers may not:

  • Misuse or abuse any equipment owned or operated by CoreXchange.
  • Make any unauthorized use of, or interfere with, any property or equipment owned or operated by any CoreXchange customer.
  • Conduct itself in an unprofessional manner or behave in an offensive way toward any individual, including CoreXchange personnel and any other CoreXchange customer on site.
  • Violate any laws or engage in any criminal activity while on CoreXchange property or within a Facility.

Shipping Rules & Policies.
(a) These shipping rules and policies (“Shipping Rules”) shall apply to any and all Customer Equipment, or to any other equipment or property, that Customer, or a third party on Customer’s behalf, ships to any CoreXchange facility.

(b) Customer is responsible for, among other things, (i) scheduling with its shipper and/or its vendor all shipments for Customer from and to any CoreXchange facility; (ii) paying all fees associated with the shipments, including all shipping, retrieval, and related fees charged by the shipper; (iii) completing all paperwork for the shipments required by CoreXchange and any third party shipping company; and (iv) notifying the shipper that all shipments will be shipped to, or retrieved from, the shipping/receiving areas designated by CoreXchange for each CoreXchange facility.

(c) Customer will ensure that all shipments are clearly and conspicuously labeled with the Customer’s name. Customer must provide the following information to CoreXchange, in addition to any other information that CoreXchange reasonably requests that Customer provide, prior to initiating any shipment to a CoreXchange facility:

a.Name of third-party shipping company and, if applicable, name of sender;

b.Shipping tracking number, order number of third party vendor (if applicable), and the number of the CoreXchange trouble ticket that references the applicable shipment; and

c.Summary of contents of all shipped package(s).

(d) CoreXchange may require that Customer provide additional information, including serial numbers and detailed hardware descriptions, if Customer requests that CoreXchange un-package and/or install any shipped hardware.

(e) Customer must obtain written or trouble ticket approval from CoreXchange prior to initiating any shipment to a CoreXchange facility. CoreXchange reserves the right to refuse to receive any Customer shipment, or institute any additional requirements, in its sole discretion. If Customer wishes to ship items from or to a CoreXchange facility, it will first schedule through a CoreXchange trouble ticket (or any other CoreXchange-approved scheduling method) the incoming or outgoing shipment at least four days in advance of the targeted shipping date. CoreXchange reserves the right to reject any shipments to a CoreXchange data center that are not initiated in accordance with all of the requirements set forth in these Shipping Rules. Unscheduled shipments may be subject to additional storage or return charges at then-current rates.

(f) CustomerwillensurethatallshipmentsforCustomertoorfromanyCoreXchangefacilitywillbemade during the business week (Monday - Friday) from 7:00 a.m. to 8:00 p.m. local time applicable to such facility. Shipment times may vary for multi-tenant buildings in which CoreXchange facilities are located. The CoreXchange Network Operations & Support Center will provide each Customer, upon request, with the specific shipping times for such multi-tenant buildings. Customer is also responsible for notifying its shippers of all shipping rules and guidelines for any multi-tenant buildings in which CoreXchange facilities are located. If a CoreXchange facility is located in a multi-tenant building, shippers are responsible for conforming to all shipping rules of that building.

(g) CoreXchange reserves the right, without liability to Customer or any third party, inspect the contents of any shipments to or from the CoreXchange facilities for those Customers that (a) are not authorized, under the terms of their MSA, to physically enter the data center floor space or (b) have ordered any Service that expressly obligates CoreXchange to unpackage and install the Customer Equipment. At the time of CoreXchange's inspection, CoreXchange reserves the right to record serial numbers for Customer Equipment. Shipments containing liquids, combustibles and any hazardous materials are prohibited.

(h) Customers will immediately notify the CoreXchange Network Operations & Support Center in connection with, and in advance of, any delayed, rescheduled, or cancelled shipment. CoreXchange may, at its option, require that Customer re-initiate the shipping process according to these Shipping Rules with respect to any delayed, rescheduled, or cancelled shipments.

(i)    Customer will immediately move each of its shipments from the shipping/receiving area to the Customer's Licensed Space (or storage area, if Customer’s Services provide for such). For any shipments that Customer does not move according to the aforementioned guideline, CoreXchange may either (a) impose a per-day storage charge based on the then-current rate, which shall be less than $50 a day, for each shipment parcel and/or (b) return the shipment, at no liability, at Customer’s expense to the "shipped from" address designated on said shipment.

(j)    These Shipping Rules are subject to immediate amendment by CoreXchange without notice. CoreXchange may in its sole discretion, upon Customer’s request, waive any requirement under these Shipping Rules by email or trouble ticket. Customer may not ship any equipment or property other than Customer Equipment that is to be co-located within the Licensed Space under Customer’s MSA. Customer understands and acknowledges that its ability to ship equipment to, or store its equipment in, any CoreXchange facility is provided only to CoreXchange or ColoUnlimited customers and only as a convenience to such persons, and, therefore, (a) Customer shall not hold CoreXchange responsible for the loss of, or damage to, any items shipped to CoreXchange or for any damages that Customer incurs in connection with the storage or installation of any of its shipped equipment, whether or not caused in any way by CoreXchange; (b) Customer assumes complete responsibility for (1) the loss and damage to any items shipped to and from a CoreXchange facility and (2) the handling or movement of such shipped equipment in the CoreXchange facility; and (c) CoreXchange makes no representation or warranty, express or implied, in connection with Customer’s shipment and storage of its equipment.

Modifications
CoreXchange reserves the right to modify, add to, delete from, or change these rules and regulations at any time, which any such change to be effective immediately. Customers are responsible for regular review of these rules. Continued use of CoreXchange facilities will constitute the Customer's acceptance of the most up-to-date version of these rules, which may be posted on CoreXchange’s web site.
